1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and VitalPath Rx ("we", "us", or "our"), concerning your access to and use of the vitalpathrx.com website as well as any other media form, connected pharmacy services, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

By accessing the Site or utilizing our pharmacy services, you agree that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, then you are expressly prohibited from using the Site and must discontinue use immediately.

2. Medical Disclaimer

Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read on this website. In the case of a medical emergency, immediately call 911 or your local emergency services.

While our licensed pharmacists are available for medication counseling, this service supplements, but does not replace, the primary care provided by your prescribing physician.

3. User Accounts & Security

To utilize our pharmacy delivery and prescription management services, you may be required to register for an account. By creating an account, you agree to:

• Provide true, accurate, current, and complete information about yourself and your medical history.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the strict confidentiality of your password and account credentials.
• Be entirely responsible for all activities that occur under your account.

We reserve the right to suspend or terminate your account and refuse any and all current or future use of the Site if you provide any information that is untrue, inaccurate, or incomplete, or if we suspect fraudulent activity.

4. Prescription Services

VitalPath Rx operates fully licensed pharmacies in multiple jurisdictions. By using our prescription services, you acknowledge the following:

• Valid Prescription Required: We will only dispense medications upon receipt of a valid prescription authorized by a licensed healthcare provider.
• Right to Refuse: In accordance with state and federal pharmacy laws, our pharmacists reserve the right, in their professional clinical judgment, to refuse to fill or refill a prescription if they determine it is not safe, valid, or appropriate for the patient.
• Substitutions: We may substitute a generic equivalent for a brand-name drug when legally permissible and unless specifically prohibited by your prescribing physician.

5. Payment and Billing

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions.

Insurance: If you provide health insurance information, you authorize us to bill your insurance provider directly. You understand that you are financially responsible for any copayments, coinsurance, deductibles, or non-covered services determined by your insurance plan. If your insurance claim is rejected, you will be responsible for the cash price of the medication prior to shipment.

6. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by us, and are protected by copyright and trademark laws and various other intellectual property rights.

7. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will VitalPath Rx, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our services, even if we have been advised of the possibility of such damages.

This limitation of liability does not attempt to limit liability for death or personal injury caused by pharmaceutical negligence to the extent that such limitation is prohibited by state or federal law.

8. Governing Law

These Terms shall be governed by and defined following the laws of the State of New Jersey (where our primary headquarters are located), without giving effect to any principles of conflicts of law. You irrevocably consent that the courts of New Jersey shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
